CASLI Board of Directions Election - Update

Hello CASLI Members,


The deadline for receipt of nominations was October 3, 2018. As of the deadline, we had received one nomination. 

As the Canada Not-for-Profit Act requires a non-profit to maintain a Board and our bylaws require the Board to have a minimum of 5 members, we are unable to proceed with the election given that we have only received one nomination. The election scheduled for October 12 and 13 has been cancelled. 

We have consulted with the CASLI lawyer, George Bryce, to determine next steps. He has advised us that the current Board has 3 options:

  1. The current board remains in the positions with the intent of hosting another election at the AGM in summer 2019.  
  2. The current board remains in their positions, appoints 3 new board members (which represents 1/3 of our current board composition). Again, with the intent of hosting another election at the AGM in summer 2019. 
  3. The current board remains in their positions with the intent of dissolving CASLI. 


As you can imagine, the current Board did not envision this outcome. Those who were planning on running in the 2018-2020 term removed their names prior to the AGM in July and had no intent on continuing past the July AGM nor the scheduled October election.  However, we are all incredibly committed to CASLI - we hold our profession, members and communities that we serve close to our hearts. 

We will be meeting in the near future to discuss our next steps, individually and collectively, and more information will be forthcoming.
